The company, whose main service is performance-based affiliate advertising, said sales would fall short of its previous forecast due to factors including changes in some advertisers' ad placement policies. Operating and ordinary profit are also expected to miss the earlier projections despite cost reductions, as sales are running below expectations.

ValueCommerce now projects a net loss of ¥900 million, compared with the ¥800 million loss forecast previously, even after booking a gain on the sale of fixed assets as extraordinary income. Loss per share is forecast at ¥41.44 versus ¥36.91. The revised sales outlook is 53.8% below the ¥23.8 billion posted in the year ended December 2025.

For January-September, the company reported sales of ¥8.38 billion, an operating loss of ¥767 million and a net loss of ¥661 million. It gave no year-on-year comparison after switching to non-consolidated reporting from the first quarter. The marketing solutions segment earned a profit of ¥748 million, while the traveltech segment posted a loss of ¥167 million.

The board also approved a 30% cut in the president's fixed monthly pay and a 15% cut for directors, excluding audit and supervisory committee members.

Separately, ValueCommerce will transfer its DYNA PMS hotel management system business to Eiji Co. through a simplified absorption-type company split for consideration of ¥1. The company said the business is currently loss-making and the transfer's impact on the full-year forecast is minor. It will keep its DYNA IBE booking system business.

The split agreement is scheduled to be signed on Oct. 30, and the split is set to take effect on Jan. 1, 2027. The pay cuts will apply for five months from November 2026 through March 2027.
