Sanwa Holdings Corporation (5929) on Oct. 30 cut its net profit forecast for the year ending March 2027 by 25.0% to ¥45.0 billion from ¥60.0 billion, and announced a share buyback of up to ¥10 billion along with the cancellation of 3 million treasury shares.

The company said its domestic business remained firm, but its overseas operations were hit by lower sales volumes amid a market slowdown and by inflation-driven increases in raw material and other costs. It also plans to book structural reform expenses. As a result, operating profit, ordinary profit and net profit are expected to fall short of the forecasts published on May 14, 2026. The revenue forecast was left unchanged at ¥677.0 billion, supported by price pass-through and currency effects.

In the year ended March 2026, Sanwa posted revenue of ¥660.7 billion, operating profit of ¥79.1 billion and net profit of ¥59.8 billion. The second-quarter dividend is unaffected by the revision; the company referred to a separate release issued the same day on a change in dividend policy and an increased year-end dividend forecast.

The buyback covers up to 3.71 million shares, or 1.8% of shares outstanding excluding treasury stock, through market purchases on the Tokyo Stock Exchange, aimed at enhancing shareholder returns and capital efficiency. As of Sept. 30, Sanwa had 207,210,110 shares outstanding excluding treasury stock and held 11,789,890 treasury shares. The 3,000,000 shares to be cancelled represent 1.4% of shares issued, leaving 216,000,000 shares issued including treasury stock.

Next steps: the buyback runs from Nov. 6, 2026 to March 31, 2027, and the share cancellation is scheduled for Dec. 11, 2026.
