Contact lens maker Seed Co. (7743) said on Thursday it will hold an extraordinary shareholders' meeting on Dec. 2, 2026 to approve a share consolidation, with its shares scheduled to be delisted on Dec. 21, leaving Luxshare and major shareholder Ryuji Arai with 49.00% and 51.00% of voting rights.
Luxshare Precision Cayman Limited, a unit of Luxshare Precision Industry Co., Ltd., ran a tender offer for Seed shares from Aug. 27 to Oct. 13, 2026. After settlement on Oct. 20, it held 13,102,594 shares, or 43.29%.
Arai, Seed's largest shareholder, did not tender the 14,768,400 shares (48.80%) he holds through four trusts, under a non-tender agreement with the offeror.
Because the offer did not secure all shares, Seed's board on Thursday called the meeting to vote on the consolidation, abolition of share-unit provisions and amendments to its articles, so that the offeror and Arai become the only shareholders. The offeror will then transfer part of its shares to Arai to reach the 49.00%/51.00% split. Under a shareholders' agreement, the post-deal board will have six or eight directors, with each side nominating an equal number and one representative director each.
Seed's board also resolved to cancel all treasury shares it holds on the cancellation date, conditional on the consolidation proposal being approved as submitted. As of Sept. 30, 2026, Seed had 30,265,922 shares outstanding and 136 treasury shares.
Next steps: the shareholders' meeting is set for Dec. 2, 2026. The shares are expected to be designated for delisting from Dec. 2 to Dec. 20 and delisted on Dec. 21. Treasury shares are to be cancelled on Dec. 22, and the consolidation is to take effect on Dec. 23.
