Kamgras 1 K.K. said on Sept. 29, 2026 it raised its tender offer price for Kakaku.com (2371) to ¥3,681 per share from ¥3,680 and extended the offer period to Oct. 14, for a total of 105 business days.

Tender offer price¥3,681 per share (from ¥3,680)
Offer period endsOct. 14, 2026 (105 business days in total)
Rival planned offer price¥3,597
KDDI price threshold¥3,755

The offer, which began on May 13, covers Kakaku.com common shares and stock acquisition rights. Kamgras 1 had raised the price to ¥3,680 from ¥3,571 on Sept. 10.

According to the filing, a rival proposer acting under the name BCPE Blitz Cayman, L.P. announced on Sept. 16 a planned tender offer price of ¥3,597, and ¥3,720 conditional on reaching a non-tender agreement with KDDI. It changed the planned start of its offer from "mid-September 2026" to "undetermined."

Kamgras 1 said that under its May 12 tender offer agreement with Kakaku.com, the target can endorse a rival bid and recommend shareholders tender only if the rival price is at or above Kamgras 1's price. Under Kamgras 1's non-tender agreement with KDDI, a rival price must be at least 2% higher for KDDI to tender. Kamgras 1 said the rival proposal could not be considered sincere. The filing also said Kakaku.com's share price was trading above the tender offer price as of Sept. 29.

Kamgras 1 filed an amended tender offer registration statement on Sept. 29, and the offer period now runs through Oct. 14, 2026, 10 business days after the filing, for a total of 105 business days.
