Dai Nippon Printing Co., Ltd. (7912) said on Oct. 9 its board approved absorbing wholly owned IT subsidiary DNP Digital Solutions, which posted ¥15,999 million in revenue in the year ended March 2026, and taking over the sales division business of subsidiary DNP Planning Network, both effective April 1, 2027.
DNP Digital Solutions, established on Feb. 15, 2017, plans, designs, develops, maintains and operates information systems for the group, including its Smart Communication segment. Dai Nippon Printing will be the surviving company and the subsidiary will be dissolved. Because the unit is wholly owned, no shares, cash or other assets will be issued or delivered, and the deal qualifies as a simplified merger under Article 796, Paragraph 2 of the Companies Act, requiring no shareholder approval.
The company said integrating its business divisions with system development and operations would speed up decision-making, optimize the allocation of personnel, technology and know-how, and shift development and operations toward AI-driven processes.
DNP Planning Network, which provides sales promotion support in the travel and tourism field, is 95.00% owned by Dai Nippon Printing and is expected to become wholly owned by the effective date. Dai Nippon Printing will take over its sales division business through an absorption-type company split, with no allocation of shares or other assets and no change in capital. Based on the March 31, 2026 balance sheet, the transferred business carries ¥648 million in current assets, ¥51 million in non-current assets, ¥201 million in current liabilities and ¥56 million in non-current liabilities. On the same day, DNP Communication Design will absorb DNP Planning Network.
