Mitsubishi Materials to fold domestic cutting-tool sales into new unit in April 2027

Wed, Oct 07, 2026 15:30 JST Mitsubishi Materials Corporation (5711.T) Nonferrous Metals 中文

Mitsubishi Materials Corporation (5711) will set up a wholly owned subsidiary to take over the domestic cutting-tool sales businesses of the company and its wholly owned unit MOLDINO, with its own transferred division having posted sales of ¥147.27 billion in the year ended March 2026 and the splits slated to take effect April 1, 2027.

Transferred division sales (FY to March 2026)¥147.27 billion
Transferred division operating profit¥14.30 billion
Assets to be transferred (book value)¥1,184 million
Effective dateApril 1, 2027

The board approved the plan on Oct. 7, 2026. The new company will be established as Tools Junbi Kaisha, headquartered in Omiya-ku, Saitama, and is scheduled to be renamed Mitsubishi Materials Tools Corporation on April 1, 2027. It will take over the businesses through absorption-type company splits from both Mitsubishi Materials and MOLDINO.

Since making MOLDINO a wholly owned subsidiary in 2020, the two companies have sold in Japan through separate sales organizations. The company said the integration aims to build a faster decision-making structure to respond to changes in the domestic market, consolidate sales offices and back-office functions, and strengthen sales competitiveness and customer proposals by combining the two companies' product lines and sales know-how.

The splits qualify as simplified absorption-type splits under Article 784(2) of the Companies Act, so neither company will hold a shareholder meeting to approve them. No consideration will be paid, and Mitsubishi Materials' capital will not change. The new company will start with capital of ¥1 million and plans to raise it to ¥100 million by April 1, 2027.
