Tokuyama to absorb wholly owned unit Super Nano Design, effective Feb. 1, 2027

Tokuyama Corp. (4043) said its board on Oct. 23 approved absorbing wholly owned subsidiary Super Nano Design Co., which posted revenue of ¥4 million in the year ended March 2026, in a merger set to take effect Feb. 1, 2027.

Effective dateFeb. 1, 2027
Tokuyama's stake100%
Unit's revenue (FY to March 2026)¥4 million
Unit's net result (FY to March 2026)¥120 million loss

Super Nano Design develops synthesis recipes for fine-particle materials and performs contract synthesis. Tokuyama said the merger aims to make its organizational operations more efficient.

Tokuyama will be the surviving company and Super Nano Design will be dissolved. Because the unit is wholly owned, no new shares will be issued and no merger consideration will be paid. The deal qualifies as a simplified merger for Tokuyama under Article 796, Paragraph 2 of the Companies Act, so no shareholders' meeting will be held to approve the merger agreement. Tokuyama's name, location, representative, business, capital and fiscal year-end will not change.

Super Nano Design, based in Sendai, Miyagi Prefecture, was established in January 2018 and has capital of ¥80 million. Its non-consolidated results for the year ended March 2026:

ItemFY to March 2026
Revenue¥4 million
Operating loss¥103 million
Net loss¥120 million
Net assets¥167 million

Tokuyama said the impact on its consolidated results will be minor because the unit is a 100%-owned consolidated subsidiary. Its consolidated forecast for the year ending March 2027, published July 29, 2026, calls for revenue of ¥392.0 billion, operating profit of ¥34.0 billion and net profit attributable to owners of the parent of ¥26.0 billion, compared with ¥349.5 billion, ¥37.1 billion and ¥22.2 billion, respectively, in the year ended March 2026.

Next steps: The merger agreement was scheduled to be signed Oct. 23, 2026, and the merger is scheduled to take effect Feb. 1, 2027.
