The boards of Welby and WHS approved the three-way business alliance with TISI on Oct. 20, 2026, and WHS's board and shareholders approved the allotment the same day. WHS will remain a consolidated subsidiary of Welby after the share issue. The disclosure did not state the issue price or the amount to be raised.

Welby and WHS have spent 12 years providing Welby My Karte, a self-management service that helps patients with lifestyle diseases such as diabetes and hypertension track blood pressure, blood glucose, exercise and diet. The service is used at about 7,000 medical institutions, and Welby's apps have been downloaded more than 1.52 million times. Welby said links with medical institutions and expansion to local governments had been challenges. TISI has offered its Healthcare Passport PHR service since 2020 and has a track record of adoption by local governments and administrative bodies. Welby and TISI signed a PHR business alliance agreement in February 2026.

Under the new agreement, the three companies will cooperate on joint sales, product development and promotion for local governments and medical institutions; integration and feature development of Welby's and TISI's PHR platforms and apps; and joint use of related data.
