The offer ran from Sept. 10 to Oct. 27, 2026, and covered common shares as well as the company's 15th and 16th series stock acquisition rights. The tendered total includes shares underlying the rights, and the bidder will acquire all of them.

MP-2606, based in Minato-ku, Tokyo, was established on June 11, 2026, with capital of ¥5,000. Its representative director is Tetsuya Kaneko, and its shareholders are MBK Partners JC V, L.P. Asset Value Investors Limited (AVI), previously the largest shareholder with 28.08% of voting rights, will have all 7,078,700 shares held by AVI Japan Opportunity Trust Plc and AVI Japanese Special Situations Fund, which it manages, acquired by the bidder. AVI will cease to be a major shareholder.

The shareholder changes are scheduled to take effect on Nov. 4, 2026, the settlement start date. Because the bidder did not obtain all shares excluding treasury stock, it plans to become the sole shareholder through procedures disclosed on Sept. 9, 2026, after which Sharing Technology's stock will be delisted from the Tokyo Stock Exchange Growth market under exchange rules. Specific procedures and timing will be announced once decided in consultation with the bidder.
