WDI Corporation (3068) said on Oct. 27, 2026 that its wholly owned subsidiary WDI JAPAN will absorb WDI Dim Sum Japan, the operator of Tim Ho Wan dim sum restaurants in Japan, in a merger scheduled to take effect on Jan. 1, 2027.

Effective dateJan. 1, 2027 (scheduled)
Became wholly ownedOct. 1, 2026
Capital of absorbed company¥100 million
Merger considerationNone (no new shares or cash)

WDI Dim Sum Japan had operated as a joint venture between the brand owner and WDI JAPAN to run and manage Tim Ho Wan dim sum restaurants in Japan. WDI JAPAN acquired the brand owner's stake on Oct. 1, 2026, making the company a wholly owned subsidiary. WDI said the merger is part of a group reorganization following that acquisition, aimed at consolidating management resources, optimizing its management structure and improving operational efficiency.

WDI JAPAN will be the surviving company, and WDI Dim Sum Japan will be absorbed and dissolved. Because the absorbed company is wholly owned by WDI JAPAN, no new shares will be issued and no cash or other consideration will be paid. The surviving company's name, address, representative, business, capital and fiscal year-end will remain unchanged.

Both companies are located at the same address in Tokyo's Minato ward and share the same representative director. WDI said the impact on its consolidated earnings will be minor, as the deal is a merger between a consolidated subsidiary and a second-tier subsidiary. The company noted the disclosure was voluntary because the matter does not meet timely disclosure criteria, and that some items were omitted.

The boards of WDI and both merging companies approved the deal on Oct. 27, 2026, and the merger agreement was signed the same day. The merger is scheduled to take effect on Jan. 1, 2027.
