Hau Terebijon to shift mond platform to U.S. unit, absorb dormant subsidiary Dec. 1

Tue, Sep 29, 2026 15:30 JST Hau Terebijon (7064.T) Platform operation 中文

Hau Terebijon (7064) will transfer its mond platform business, which posted a recurring loss of ¥363.578 million on sales of ¥32.897 million in the fiscal year ended January 2026, to wholly owned U.S. subsidiary mond, Inc. on Nov. 30 at no cost, and absorb dormant subsidiary mond Japan on Dec. 1.

Business transfer dateNov. 30, 2026 (scheduled)
Merger effective dateDec. 1, 2026 (scheduled)
Transferred business recurring profit (FY to Jan. 2026)-¥363.578 million
ConsiderationNone

The board of the Tokyo Stock Exchange Standard Market company approved both moves on Sept. 29, 2026.

mond Japan, formerly Liiga, was set up as a wholly owned subsidiary on Feb. 1, 2024, and has been dormant since transferring all of its operations to the parent through an absorption-type company split on Jan. 1, 2025. The company said the merger aims to streamline group management. Because the deal qualifies as a simplified merger for the parent and a short-form merger for mond Japan under the Companies Act, neither side will hold a shareholder vote. No consideration will be paid, and mond Japan will be dissolved.

The business transfer is intended to consolidate mond platform assets now spread across several group entities into a single entity. No tangible assets or liabilities will move; contracts tied to the business are to be transferred. mond, Inc., based in Delaware, was established on Feb. 26, 2025, with capital of $100,000. As of Dec. 31, 2025, it had net assets of $86,000 and total assets of $591,000. The parent's president also heads the unit, and the parent lends it working capital.
