Japanese apparel companies World Co. (3612) and TSI Holdings Co. (3608) said on Oct. 14, 2026 they will integrate their businesses by jointly establishing a holding company, INFINITY UNITED Inc., through a share transfer scheduled for March 1, 2027.
Both companies are listed on the Prime section of the Tokyo Stock Exchange. Their boards approved the plan on Oct. 14, and the two signed a business integration agreement based on "the spirit of equality" and jointly prepared a share transfer plan. INFINITY UNITED will become the wholly owning parent of both companies. The integration is subject to approval at both companies' shareholder meetings and by relevant authorities.
The companies said they began talks around June 2026. World launched its "VISION-W" medium-term management plan in March 2026, while TSI Holdings, formed in 2011 through the integration of Tokyo Style and Sanei International, drew up its "TSI Innovation Program 2027" (TIP27) plan in April 2024.
According to the filing, the two companies' brand portfolios barely overlap in customer base, sales channels, merchandise or price range, and the integration aims to establish a "third pole" in the fashion industry. Expected synergies include shared IT systems, logistics and corporate functions; unified purchasing and payments to reduce costs; integrated customer data for digital marketing and an OMO-based channel strategy; mutual product supply and joint development of regional and overseas sales channels; and greater capacity for M&A, overseas growth and human capital investment.
INFINITY UNITED is scheduled to be established on March 1, 2027.
