The Tokyo Stock Exchange Prime-listed trading company said in a filing released at 4:20 p.m. on Oct. 1 that the merger was carried out under the plan it disclosed on May 22, 2026, and took effect on the originally scheduled date of Oct. 1, 2026.

Under the absorption-type merger, Kyokuto Boeki is the surviving company, and ZRC Japan, which was 100% owned by Kyokuto Boeki before the deal, has been folded into the parent.

The May 22 notice covered both the merger and the recording of an extraordinary loss on the extinguishment of tie-in shares, which arises when the book value of the subsidiary shares held by the parent exceeds the net assets it takes over. The completion notice did not restate the amount of that loss or refer to any impact on the company's earnings forecasts.

The filing was issued under the name of the company's representative director and president, with inquiries directed to the head of the corporate planning office.
