Kamgras 1 K.K. has raised its tender offer price for Kakaku.com, Inc. (2371) to ¥3,681 per share from ¥3,680 and extended the offer period to Oct. 14, 2026, Kakaku.com said on Sept. 30.

Kamgras 1 filed an amended tender offer registration statement on Sept. 29 and extended the offer period to the 10th business day after that filing, bringing the total to 105 business days. The change follows a rival plan by investment funds advised by Bain Capital Private Equity, LP and their group, together with LY Corp. (LINE Yahoo). On Sept. 16, the two announced they would raise the planned offer price of BCPE Blitz Cayman, L.P., a limited partnership formed by Bain Capital in which LINE Yahoo is expected to invest indirectly, to ¥3,597 per share, or ¥3,720 if they can sign a non-tender agreement with KDDI Corp.

Kakaku.com said the two offers cannot both proceed. Its board and a special committee set up to review the take-private deal will consult in good faith with both sides and carefully consider which transaction would better serve corporate value and the common interests of shareholders, as well as each offer's likelihood of success.

As of Sept. 30, the special committee's recommendation was unchanged. Kakaku.com also maintained its July 2 opinion supporting the Kamgras 1 offer while leaving the decision to tender to shareholders and stock acquisition right holders.

The Kamgras 1 tender offer period now runs through Oct. 14, 2026.
