Nikke to merge three uniform subsidiaries into Nikke Mate effective Dec. 1

Nikke (3201) said on Sept. 25, 2026 its board approved a merger in which wholly owned subsidiary Nakahiro Co. will absorb Akatsuki Shoji Co. and Sato Sangyo Co. effective Dec. 1, 2026, with Nakahiro renamed Nikke Mate Co. on the same date.

Merger effective dateDec. 1, 2026 (planned)
New name of surviving companyNikke Mate Co. (planned)
Capital after merger¥100 million
Extraordinary shareholders' meetingsOct. 16, 2026 (planned)

Nakahiro will be the surviving company, while Akatsuki Shoji and Sato Sangyo will be dissolved. Because all three are 100% owned by Nikke, no shares, cash or other consideration will be allotted in the merger. Nikke said there were no stock acquisition rights or bonds with stock acquisition rights at the absorbed companies to be addressed.

Nikke said the merger responds to changes in the uniform market, including Japan's declining birthrate and shifts in demand structure, and aims to speed up decision-making and centralize operations in the group's uniform business. The company plans to shift toward a platform-style business covering everything from planning and production to logistics and after-sales service. The name change reflects the integration of the group's three uniform trading companies and is intended to unify the business structure and clarify the brand.
