Non-consolidated extraordinary gain (est.)approx. ¥4.1 billion

The board approved the deal on Sept. 24, 2026, and the share transfer agreement was signed the same day. GMO Internet Group held 3,596,400 GMO Commerce shares, or 66.02% of voting rights, and will hold none after the transfer. GMO Commerce will become a subsidiary of GMO Internet and a second-tier subsidiary of GMO Internet Group, which moved to a holding company structure in January 2025.

GMO Internet operates domain, cloud and rental server, and internet access businesses, along with internet advertising and media. GMO Commerce develops and provides marketing platforms that help stores improve customer experience and promote digital transformation. The company said the move will enable customer referrals and cross-selling between the two companies' customer bases and help expand recurring-revenue products in the advertising business.

GMO Internet also plans to make its wholly owned subsidiaries GMO NIKKO, a comprehensive marketing support company, and GMO Insight, a media company, subsidiaries of GMO Commerce, positioning GMO Commerce as the core internet advertising and media company within GMO Internet's consolidated group.

Because GMO Commerce will remain a consolidated subsidiary of GMO Internet Group, the impact on consolidated earnings will be minor, although capital surplus will change.

GMO Commerce results for the fiscal year ended December 2025:

ItemFY2025
Revenue¥2,456 million
Operating profit¥523 million
Net profit¥342 million
Net assets¥2,776 million

The share transfer is scheduled for Oct. 1, 2026.
