PRAP Japan (2449) said its board on Sept. 25, 2026 approved absorbing wholly owned subsidiary Precision Marketing effective Dec. 1, 2026, a merger that will generate an extraordinary loss of an amount not yet determined in its non-consolidated accounts.

Shareholder approval meetingNov. 26, 2026
Subsidiary sales (FY Aug. 2025)¥552 million
Subsidiary net assets (FY Aug. 2025)¥259 million

Precision Marketing provides digital marketing consulting, programmatic advertising and social media management services. It posted sales of ¥552 million and net income of ¥29 million in the fiscal year ended August 2025. PRAP Japan said the integration aims to streamline group management, accelerate the development and delivery of services suited to a changing communications environment, and deepen ties between its PR and digital marketing operations.

PRAP Japan will be the surviving company and Precision Marketing will be dissolved. No shares, cash or other consideration will be allotted. Because the merger is expected to produce a loss on extinguishment of tie-in shares in PRAP Japan's non-consolidated accounts, it is conditional on approval at the company's annual general meeting under Article 795, Paragraph 2, Item 1 of the Companies Act. For Precision Marketing, it is a short-form merger under Article 784, Paragraph 1, and no shareholders' meeting will be held.

The amount of the extraordinary loss has not been determined, and the company said it will disclose the figure promptly once fixed. The loss will be eliminated in consolidation and will have no impact on consolidated earnings. PRAP Japan's name, head office, representative, business, capital and fiscal year-end will not change.

Shareholders are scheduled to vote on the merger agreement at a meeting on Nov. 26, 2026, with the merger taking effect on Dec. 1, 2026. The loss amount will be announced once determined.
