GMO Internet, Inc. (4784) said on Sept. 24, 2026 its board approved acquiring a 65.96% stake in GMO Commerce (410A) from parent GMO Internet Group (9449), making it a consolidated subsidiary as part of a reorganization of its internet advertising business.

GMO Commerce FY12/2025 revenue¥2,456 million
GMO Commerce FY12/2025 net profit¥342 million

GMO Commerce, listed on the Tokyo Stock Exchange Growth market, runs mainly recurring-revenue businesses centered on store marketing, has a customer base of about 18,000 and holds store promotion and customer-acquisition app operator GMO Digital Lab as a consolidated subsidiary. GMO Internet said bringing it into the group would allow mutual customer referrals and cross-selling with its internet infrastructure customer base and help expand recurring-revenue products in advertising.

In connection with the purchase, GMO Internet will transfer all shares of its wholly owned subsidiaries GMO NIKKO and GMO Insight to GMO Commerce, making them second-tier subsidiaries. GMO Commerce will then oversee GMO NIKKO, GMO Insight and GMO Digital Lab as the core company of the group's internet advertising and media business. GMO Internet expects the share transfer to generate an extraordinary gain in its non-consolidated results.

In a separate filing the same day, GMO Internet said its board resolved to sell all 7,349,446 shares of Thai digital asset unit GMO-Z.com Cryptonomics (Thailand) Co., Ltd., held directly and through subsidiary GMO-Z.com Holdings (Thailand) Co., Ltd., to BTGT Management (Thailand) Ltd. or an entity it designates at closing. The sale follows a March 18, 2026 announcement that it would exit the business. The price was not disclosed at the buyer's request, and the company said the impact on consolidated results for the year ending December 2026 would be minor.

The Thai share transfer agreement was scheduled to be signed on Sept. 24, 2026, with the transfer scheduled for Oct. 31, 2026.
