Kamgras 1 decided on Oct. 14, 2026, to raise its tender offer price for Kakaku.com, Inc. (2371) to ¥3,682 per share from ¥3,681 and extend the offer period to Oct. 28, bringing the total to 115 business days.

Kakaku.com said on Oct. 15 that Kamgras 1 filed an amended tender offer registration statement on Oct. 14, extending the offer period to 10 business days from that filing date. The offer, which aims to take Kakaku.com private, sets no maximum number of shares. The price for each of 11 series of stock acquisition rights remains ¥1 per unit.

The company said the offer cannot coexist with a rival tender offer by investment funds advised by Bain Capital Private Equity, LP and their group, together with LINE Yahoo Corporation. Kakaku.com's board and its special committee will continue good-faith talks with both sides and carefully weigh which deal better serves corporate value and the common interests of shareholders, as well as whether each offer can succeed. As of Oct. 15, the committee's recommendation was unchanged, and Kakaku.com maintained its July 2 opinion supporting the Kamgras 1 offer while leaving the decision to tender to shareholders and stock acquisition rights holders.

In an earlier disclosure, Kamgras 1 said the rival group had changed its offer price to ¥3,597, with a conditional price of ¥3,720 contingent on an agreement with KDDI on not tendering to the rival offer. Kamgras 1 said both prices fall below the level required under the KDDI non-tender agreement, which allows KDDI to tender to the rival offer only if it is priced at least 2% above the Kamgras 1 offer and actually launched. It also said the rival group had changed the planned start of its offer from "mid-September 2026" to "undecided."

The Kamgras 1 tender offer period now runs until Oct. 28, 2026.
