Murata Manufacturing Co. (6981) said its board approved the absorption of wholly owned subsidiary Saitama Murata Manufacturing Co., Ltd., with the merger scheduled to take effect on July 1, 2027, and the unit's site set to close on May 31, 2027.

Merger effective dateJuly 1, 2027 (scheduled)
Saitama site closureMay 31, 2027
Saitama Murata revenue (FY to March 2026, non-consolidated)¥3,092 million
Merger considerationNone

Saitama Murata, which mainly develops components under contract from its parent, will be dissolved, with Murata as the surviving company. Murata said folding the subsidiary's functions into the parent is aimed at consolidating management resources and improving efficiency. The board resolution and the merger contract were both dated Oct. 1, 2026.

Because the target is wholly owned, no new shares will be issued, capital will not increase, and no merger cash or other consideration will be paid. On Saitama Murata's side, the deal is a short-form merger under Article 784, Paragraph 1 of the Companies Act, so no shareholders' meeting will be held to approve the contract.

Saitama Murata, based in Tsurugashima, Saitama Prefecture, has capital of ¥100 million, was founded on Aug. 9, 1955, and has 106,687,004 shares outstanding. Figures for the fiscal year ended March 31, 2026:

Item (¥ million)Saitama Murata (non-consolidated)Murata (consolidated, IFRS)
Revenue3,0921,830,856
Operating profit143281,835
Net profit414233,920
Total assets30,8493,199,099

Murata said the impact on its consolidated results will be minor, and that its name, location, representative, business, capital and fiscal year-end will not change. Product development and other functions handled at the Saitama site will be transferred to Murata's head office and other sites.

Next steps: the Saitama Murata site is set to close on May 31, 2027; Murata's shareholders' meeting to approve the merger contract is scheduled for June 28, 2027; and the merger is scheduled to take effect on July 1, 2027.
