Kamgras 1 lifts Kakaku.com tender offer to ¥3,683 a share, extends to Nov. 12

Kamgras 1 K.K. on Oct. 28, 2026 raised its tender offer price for Kakaku.com (2371) to ¥3,683 per share from ¥3,682 and extended the offer period to Nov. 12, bringing it to 125 business days.

Tender offer price¥3,683 per share (from ¥3,682)
Offer periodMay 13-Nov. 12, 2026 (125 business days)
BCPE Blitz proposed price¥3,700 per share (¥3,720 with KDDI non-tender agreement)
Minimum shares to be purchased34,941,000 shares

The change follows an Oct. 26 proposal from Bain Capital Private Equity, LP and LINE Yahoo Corp. to raise the tender offer price of BCPE Blitz Cayman, L.P. to ¥3,700 per share, or ¥3,720 if a non-tender agreement can be concluded with KDDI Corp. BCPE Blitz is a limited partnership formed by Bain Capital, with indirect investment planned by LINE Yahoo. Because that price exceeded Kamgras 1's offer price at the time, Kakaku.com on Oct. 27 requested talks with Kamgras 1 on changing its price under their tender offer agreement. Kamgras 1 said it is considering its response but has made no decision.

The offer, aimed at taking the company private, has no maximum number of shares. Stock acquisition rights are bought at ¥1 each.

Kakaku.com said it is undesirable for corporate value and general shareholders' interests that the Kamgras 1 offer keeps being extended while the BCPE Blitz offer remains unlaunched for a long period. As the two offers cannot both proceed, the board and its special committee will continue good-faith talks with both sides and assess which deal better serves corporate value and shareholders' common interests, as well as each offer's likelihood of success. The special committee's report and the company's July 2, 2026 opinion are unchanged: Kakaku.com supports the Kamgras 1 offer and leaves the decision to tender to shareholders and holders of stock acquisition rights.

The Kamgras 1 tender offer period now ends on Nov. 12, 2026. Kakaku.com said it will promptly disclose any new matters requiring disclosure.
