Striders Corporation (9816) said its board on Sept. 30, 2026 approved a simplified share exchange to make IT services company block party a wholly owned subsidiary, allotting 16,600 Striders shares for each block party share, or 597,600 treasury shares in total.

Exchange ratio16,600 Striders shares per block party share
Shares to be delivered (treasury stock)597,600 shares
block party equity value (DCF)¥120 million-¥155 million
Effective dateOct. 30, 2026 (scheduled)

Because the deal is a simplified share exchange, Striders does not need shareholder approval under Article 796(2) of Japan's Companies Act. On the target's side, the exchange agreement was approved by a deemed resolution in lieu of a shareholders' meeting under Article 319(1). The two companies signed the agreement the same day. Striders will not issue new shares and will use treasury stock for the allotment.

Independent valuer Nexstride Partners LLC of Osaka calculated the ratio. Striders' shares were valued using the average market price method with Sept. 29, 2026 as the base date. Unlisted block party was valued by discounted cash flow, covering only its IT business. The agreed ratio falls within the calculated range.

Founded on Nov. 20, 2013 and based in Tamano, Okayama Prefecture, block party mainly develops and operates web application systems and provides IT consulting. It has capital of ¥18 million and 36 shares outstanding. Its restaurant business was transferred to a separate entity effective Aug. 1, 2026, and the exchange is premised on the company being a pure IT business.

Striders, whose group operates real estate, hotel and investment businesses, said the deal will let it bring some outsourced IT work in-house. It also plans to use the unit for system integration and post-merger integration support at future investment and acquisition targets. A separate business cooperation and technology succession agreement will require at least five years of continued business operation and involvement.

The share exchange is scheduled to take effect on Oct. 30, 2026.
