Rex Advisers (602A), a staffing company listed on Tokyo Pro Market, said its board on Oct. 15 approved the absorption of wholly owned subsidiary Yume Catalyst LLC, with the merger scheduled to take effect on Dec. 1, 2026, subject to approval at an extraordinary shareholders' meeting on Nov. 26.

Effective dateDec. 1, 2026 (scheduled)
Extraordinary shareholders' meetingNov. 26, 2026 (scheduled)
Subsidiary revenue (FY to Sept. 2025)¥56.0 million
Merger considerationNone (no shares or cash allotted)

The merger aims to integrate Yume Catalyst's operations and unify management, improving efficiency and making more effective use of management resources, the company said.

Rex Advisers will be the surviving company and Yume Catalyst will be dissolved. Because the subsidiary is wholly owned, no shares or cash will be allotted.

The company said it is putting the merger contract to a shareholder vote because the deal may generate a merger loss, citing the proviso to Article 796, Paragraph 2 and Article 795, Item 1 of the Companies Act.

Yume Catalyst, founded in October 2018 with capital of ¥510,000, provides corporate staff development and training programs. For the fiscal year ended September 2025 it posted revenue of ¥56.0 million, operating profit of ¥8.3 million and net profit of ¥8.3 million.

Rex Advisers, which provides recruitment, staffing and job advertising services, reported revenue of ¥1.55 billion, operating profit of ¥2.8 million and net profit of ¥9.2 million for the year ended December 2025. President Yasuo Okamura is its largest shareholder with a 45.92% stake.

The company's name, head office, representative, business lines, capital and fiscal year-end will not change after the merger. The impact on earnings is under review, and the company said it will promptly disclose any new matters that arise.

The extraordinary shareholders' meeting is scheduled for Nov. 26, and the merger is set to take effect on Dec. 1, 2026.
