KPP Group Holdings (9274) said on Oct. 2, 2026, its consolidated subsidiary Antalis will acquire all shares of nine companies in Switzerland, Central and Eastern Europe and the Baltic states, plus German paper wholesale assets, from OptiGroup's Papyrus Group, a business with fiscal 2025 sales of about €215 million.

The board approved the deal on Oct. 2, and Antalis S.A.S., based in Boulogne-Billancourt, France, and its operating companies signed a share and asset transfer agreement the same day. The transaction is subject to customary closing conditions and competition clearance in certain European countries; the companies will operate independently until completion.

The acquired business mainly distributes printing and office paper and serves more than 13,000 customers. KPP said integrating its customer base, sales network and logistics infrastructure with Antalis's existing operations in the region is expected to strengthen sales capabilities and the business base. The seller, Papyrus AB of Sweden, is wholly owned by OptiGroup AB, a B2B distributor that sells paper and board, packaging, hygiene and cleaning, and medical-related products in 19 European countries.

The purchase price was not disclosed, citing confidentiality obligations, but KPP said it is less than 15% of consolidated net assets at the end of the fiscal year ended March 2026. The price was set through negotiations based on operating results, financial condition and third-party due diligence. Antalis will acquire 59,704 shares, raising its voting stake from 0% to 100%, and the nine companies will become indirect subsidiaries of KPP. Sales for the year ended December 2025 at the four specified subsidiaries:
