Tsukishima Holdings (6332) and Mitsubishi Kakoki (6331) signed business integration and share exchange agreements on Sept. 30, 2026, to combine under a joint holding company on April 1, 2027, and Tsukishima separately approved a buyback of up to 1 million shares worth up to ¥3.0 billion.

Under the plan, Mitsubishi Kakoki will transfer all of its businesses, except certain functions needed to operate as a holding company, to MKK Next, a wholly owned subsidiary set up on Sept. 30, through an absorption-type company split. Conditional on the split taking effect, Mitsubishi Kakoki will become the wholly owning parent of Tsukishima Holdings through the share exchange and change its name to Mitsubishi Tsukishima Kakoki Holdings. Group businesses will then be reorganized under the holding company. The companies said the integration is based on a spirit of equality.

Tsukishima was founded in 1905. Mitsubishi Kakoki was established in 1935 with investment from Mitsubishi group companies and Tsukishima, then Tsukishima Kikai. Both operate in single-unit machinery, engineering and water environment businesses.

Tsukishima's buyback covers up to 1 million common shares, or 2.5% of shares outstanding excluding treasury stock, through market purchases on the Tokyo Stock Exchange under a discretionary trading contract. All shares acquired are to be cancelled immediately before Mitsubishi Kakoki acquires all of Tsukishima's issued shares in the share exchange. As of Aug. 31, 2026, Tsukishima had 40,125,800 shares issued and held 524,577 treasury shares.

Next steps: The buyback runs from Oct. 5, 2026 to March 19, 2027. The company split and share exchange are scheduled to take effect April 1, 2027, subject to approval at both companies' shareholder meetings and receipt of required permits.
