Japan M&A Solution to Buy SBI Tsuji Hongo M&A in Share Swap, Effective Dec. 4

Japan M&A Solution Inc. (9236) said its board on Oct. 5, 2026 approved a share exchange to make SBI Tsuji Hongo M&A Co., Ltd. (STH) a wholly owned subsidiary, effective Dec. 4, 2026, after which it plans to rename itself JMA Tsuji Hongo.

Effective date of share exchangeDec. 4, 2026
Extraordinary shareholders' meetingsDec. 2, 2026
STH revenue, Apr.-Aug. 2026¥313 million
STH operating profit, Apr.-Aug. 2026¥87 million

The exchange is conditional on approval of the agreement at extraordinary shareholders' meetings of both companies. Because STH's capital equals 10% or more of Japan M&A Solution's, STH will become a specified subsidiary, and the company expects changes in its largest shareholder, major shareholders and other affiliated company.

Japan M&A Solution, listed on the Tokyo Stock Exchange Growth market in October 2023, mainly advises small and mid-sized companies on business succession and has tie-ups with 61 regional banks, 35 shinkin banks and 312 tax and accounting firms. STH provides M&A advisory and succession support backed by the Tsuji Hongo and SBI groups.

STH posted a loss in its previous fiscal year. It booked revenue of ¥313 million and operating profit of ¥87 million in the five months from April to August 2026. The company said that if specific deals expected from September close as planned, STH's revenue for the year ending March 2027 would exceed ¥800 million and operating profit would exceed ¥300 million. It also expects annual cost savings of more than ¥100 million from measures including staffing changes and exiting a direct sales unit, based on STH's actual expenses for the year ended March 2026.

The company's medium-term plan, ending with the fiscal year to October 2029, targets becoming No. 1 in Japan by number of closed deals and a listing on the TSE Prime market. One Prime criterion is combined ordinary profit of ¥2.5 billion over the latest two years, which the company must exceed in the fiscal years ending October 2027 and October 2028. It said adding STH's earnings brings that goal within reach.

Next steps: both companies hold extraordinary shareholders' meetings on Dec. 2, 2026, and the exchange takes effect on Dec. 4. The name change will go to the annual shareholders' meeting scheduled for Jan. 28, 2027.
