SBINM G.K., a wholly owned subsidiary of SBI Holdings, Inc., has extended its tender offer for BASE, Inc. (4477) shares to Oct. 15, 2026, for a total of 30 business days, keeping the offer price at ¥340 per share.
The offer, launched Aug. 31, had originally been set to run through Sept. 30, or 20 business days, the statutory minimum. The offeror said it decided on the extension on Sept. 30 after considering the tendering status since launch and the outlook for further tenders, judging it appropriate to give shareholders an additional opportunity to decide. The settlement start date was moved to Oct. 22. As of Sept. 30, the offeror had no plans to change any other terms of the offer.
The tender offer aims to make BASE an equity-method affiliate. It caps purchases at 23,792,300 shares with no minimum. If the maximum is acquired, the post-offer ownership ratio would be 20.67%, calculated against 1,151,009 voting rights as of June 30, 2026.
