Laboro.AI (5586) said on Sept. 28 it will acquire 304 Class C preferred shares, a 4.5% stake, in Tohoku University spin-off Material Concept for ¥100.32 million as part of a business alliance.
Material Concept, founded on research from Tohoku University's Graduate School of Engineering, develops and manufactures conductive pastes, including copper paste, used to form wiring and electrodes in semiconductors and solar cells. Established on April 8, 2013, with capital of ¥350 million, its largest shareholder is JX Advanced Metals with 46.1%, followed by Representative Director Miho Koike with 26.7%.
The partners will work on three fronts: building AI models to optimize paste formulation recipes and process parameters to shorten development and evaluation cycles; drawing up a roadmap for introducing robots and sensors and running a proof of concept to automate experiments and manufacturing; and structuring engineers' tacit knowledge as an ontology to improve Laboro.AI's own technology platform.
Laboro.AI, which has built its business on contract AI projects for clients, said advanced manufacturing requires long-term, hands-on involvement, making an equity stake more suitable than a single commissioned project. It called the deal a pioneering step toward sharing growth risks and rewards with partners through investments and M&A, and said it aims to pursue more such capital strategies.
The two companies currently have no capital or business ties, though a Laboro.AI executive officer serving as chief alliance officer is an outside director of Material Concept. The 4.5% figure is based on Material Concept's shares outstanding, excluding treasury stock, as of Sept. 28. The unlisted company's financials were withheld under a confidentiality agreement. Laboro.AI said the investment equals about 4% of its consolidated net assets at the end of the third quarter of the fiscal year ending September 2026, and expects a minor impact on results for that year and the year ending September 2027.
Next steps: The agreement is to be signed on Sept. 29, 2026, and the business is scheduled to start on Oct. 1, 2026.
