Ferrotec (6890) said its tender offer for Nihon Teikoki Seisakusho (6977) succeeded, with 1,083,273 shares tendered, above the 618,700-share minimum, giving it 87.55% of voting rights.

The offer ran from Sept. 18 to Nov. 5, 2026, after Ferrotec's board approved it on Sept. 17. It targeted 1,237,203 shares with a minimum of 618,700 and no maximum; Ferrotec will buy all tendered shares.

The stake is calculated against 12,372 voting rights, based on 1,240,000 shares issued as of June 30, 2026, less 2,797 treasury shares, as stated in the target's first-half earnings report released Aug. 14. Ferrotec held no shares before the offer, and the two companies had no capital, personnel or business ties. Ferrotec, itself a listed company, makes semiconductor equipment-related products, electronic devices and automotive products, and has capital of ¥29,549 million.

Next steps: Settlement begins Nov. 12, 2026, when Ferrotec becomes Nihon Teikoki's parent company, a major shareholder and its largest shareholder, and Nihon Teikoki becomes a consolidated subsidiary. Because Ferrotec did not acquire all shares excluding treasury stock, it plans to follow the reorganization procedures outlined in the Sept. 17 announcement to become the sole shareholder. Nihon Teikoki shares, listed on the Tokyo Stock Exchange Standard Market, would then be delisted. Specific procedures and timing will be announced once decided.
