Jason Co. (3080) said President and Chairman Masahiko Ota will transfer 1.6 million of his shares to Ota Fudosan, a company he heads as representative director, in an off-market private transaction, making it a new major shareholder with 12.49% of voting rights.
Ota's holding will fall to 1,662,700 shares from 3,262,700 shares, and he will remain the second-largest shareholder. Ota Fudosan, which held no shares before the deal, will own 1,600,000 shares and become the third-largest shareholder, according to the company's estimate. The two together will continue to hold 3,262,700 shares.
| Holder | Before | After |
|---|---|---|
| Masahiko Ota | 25.47% (No. 2) | 12.98% (No. 2) |
| Ota Fudosan | 0.00% | 12.49% (No. 3) |
Because the acquisition exceeds 5% of voting rights, it qualifies as a share accumulation deemed equivalent to a tender offer under Article 167, Paragraph 1 of the Financial Instruments and Exchange Act and Article 31 of its Enforcement Order. The release also serves as Ota Fudosan's public announcement under Article 30, Paragraph 1, Item 4 of the Enforcement Order.
Ota Fudosan is based in Shibamata, Katsushika Ward, Tokyo, and is engaged in real estate management and leasing, with capital of ¥3 million. Jason said Ota Fudosan intends to hold the shares over the medium to long term as a stable shareholder.
Voting-rights ratios are based on 128,076 total voting rights as of Feb. 28, 2026, when Jason had 12,812,000 shares outstanding, including 4,400 shares without voting rights.
The transfer is scheduled for Nov. 4, 2026, with settlement on the day of the announcement.
