Sakurai Seisakusho sets post-delisting share rules ahead of Oct. 1 TSE exit

Sakurai Seisakusho (7255) said on Sept. 25 its common shares will be delisted from the Tokyo Stock Exchange's Standard Market on Oct. 1, 2026, with Sept. 30 the last trading day, after which the shares can change hands only through private, negotiated transactions.

After delisting, the shares cannot be bought or sold on any stock market, and trades will be limited to deals between a seller and a buyer. Quantity, price and settlement method will be decided by the parties, and the company said it cannot provide reference prices. The company does not issue share certificates and has no plans to do so after delisting.

Because Japan Securities Depository Center will stop handling the shares and brokerages will no longer be able to process them, shareholders will in principle need to stamp requests and filings with their registered seal and attach a seal registration certificate to confirm identity and intent. Share administration will, for the time being, continue to be handled by shareholder registry administrator Sumitomo Mitsui Trust Bank.

To register a transfer, the seller and buyer must sign a share transfer agreement, then fill in a name-transfer request form for companies that have abolished share certificates, stating the number of shares, affix their registered seals, attach their seal registration certificates and send the documents to Sumitomo Mitsui Trust Bank's stock transfer agency department. The company warned that holders may be unable to exercise shareholder rights against it if the name on the register has not been changed, even after a transfer.
