Because the acquisition amounts to 5% or more of voting rights, it constitutes a "purchase equivalent to a tender offer" as defined under Article 167, Paragraph 1 of Japan's Financial Instruments and Exchange Act and Article 31 of its Enforcement Order, according to the filing.

Livero said it made the disclosure at the request of HITEN, the acquirer, pursuant to Article 30, Paragraph 1, Item 4 of the Enforcement Order. HITEN, whose representative director is Keiko Kashima, issued a separate notice the same day saying it had decided to acquire the shares from Hidetoshi Kashima.

Both releases said HITEN intends to hold the shares over the long term as a stable shareholder.
