Espoir Co., Ltd. (3260), listed on the Nagoya Stock Exchange's Next Market, said on Oct. 16 that trading in its shares ends with that day's session and the stock will be delisted on Oct. 17, 2026, after which shares can change hands only through private negotiated transactions.
The Nagoya Stock Exchange decided on Sept. 16, 2026 to delist the shares, which were designated as securities to be delisted from Sept. 16 through Oct. 16. Japan Securities Depository Center (JASDEC) is scheduled to stop handling the shares on Oct. 21, 2026, after which securities companies will also no longer handle them.
Espoir does not issue share certificates and has no plans to do so after delisting. Shareholders of record as of the JASDEC cutoff will be entered in the company's shareholder register based on notice from JASDEC and will retain their rights as shareholders. Requests and filings after delisting will in principle require a registered seal and a seal registration certificate to verify identity.
To transfer shares, a seller must first submit a request for a certificate of shareholder register entries bearing the registered seal, with an original seal certificate issued within six months; issuance may take about one to two weeks. Seller and buyer then sign a share transfer agreement and jointly submit a name transfer request, each with their registered seal, together with the certificate and their seal certificates.
The company said it will continue to file annual securities reports, semi-annual reports and other required documents with the Kanto Local Finance Bureau under the Financial Instruments and Exchange Act. Notices such as shareholder meeting convocations will be mailed to registered addresses and posted on its website.
Next steps: following the Oct. 17 delisting, JASDEC handling is set to end on Oct. 21. Espoir's shareholder registry agreement with Mitsubishi UFJ Trust and Banking is scheduled to end at the end of October 2026; from November, the company will handle the register, name transfers, address changes and certificate issuance itself. Inquiries go to Mitsubishi UFJ Trust and Banking's stock transfer agency department (0120-232-711) through October and to Espoir (03-6712-7772) from November.
