(6572) said 4,000,000 shares held by Representative Director Tomomichi Takahashi will be transferred on Nov. 2, 2026 to Office Takahashi, an asset-management company owned by Takahashi and family members, raising its stake to 15.71% of voting rights from 8.57% and making it the second-largest shareholder.
Office Takahashi, based in Fukuyama, Hiroshima Prefecture, is wholly owned by Takahashi and relatives and is engaged in real estate management and management consulting. It has capital of ¥3 million, and Takahashi serves as its representative director. The 4,000,000 shares represent 7.14% of total voting rights, and the transfer will make Office Takahashi a major shareholder of Open Group.

Because the acquisition exceeds 5% of voting rights, it constitutes a purchase equivalent to a tender offer under Article 167(1) of the Financial Instruments and Exchange Act and Article 31 of its enforcement order. Open Group made the announcement at Office Takahashi's request under Article 30(1)(iv) of the enforcement order.
Office Takahashi said it intends to hold the shares long term as a stable shareholder. Open Group said the change in major shareholder will have no impact on its business results. The transfer price was not disclosed.
