Aeon Kyushu Co., Ltd. (2653) said its board on Oct. 20, 2026 approved the sale of a real estate trust beneficiary interest in the site of its former Aeon Kagoshima Kamoike store to group company Aeon Mall Co., Ltd., a deal expected to generate an extraordinary gain of about ¥4.9 billion in the third quarter of the fiscal year ending February 2027.

Estimated gain on saleapprox. ¥4.9 billion
Land area36,522.5 sq m
Transfer dateNov. 2, 2026 (scheduled)
Booking periodQ3 of FY ending Feb. 2027

The asset is a 36,522.5-square-meter plot in Kamoike 2-chome, Kagoshima City, Kagoshima Prefecture, currently vacant land where the store once stood. The company said the sale is intended to use its assets more efficiently and strengthen its financial position.

The gain of roughly ¥4.9 billion is an approximate figure calculated as the sale price minus book value and transaction costs. The sale price was not disclosed under an agreement with the buyer.

Aeon Mall, which handles large-scale regional development, develops and operates shopping malls, and is engaged in real estate sales, leasing and brokerage, is wholly owned by Aeon Kyushu's parent, Aeon Co., Ltd. It had capital of ¥42.43 billion and net assets of ¥509.076 billion for the fiscal year ended February 2026. Aeon Kyushu has one employee seconded to Aeon Mall, and its stores are tenants in 10 shopping centers operated by Aeon Mall.

The deal constitutes a transaction with a controlling shareholder group. Aeon Kyushu said the price was set through negotiation based on an appraisal by an independent third-party real estate appraiser, and a director who also serves as an officer of Aeon Co. did not take part in the negotiations. Three independent outside directors and two outside auditors gave the opinion that the deal is not disadvantageous to minority shareholders, and all nine directors present approved it.

Next steps: The trust beneficiary interest sale agreement is scheduled to be signed, and the transfer executed, on Nov. 2, 2026, with the gain booked in the third quarter of the fiscal year ending February 2027. The company said it is still reviewing the impact on earnings, including other factors, and will disclose promptly if required.
