Gross proceeds¥601.65 million

Estimated net proceeds¥598.65 million

The company plans to use all net proceeds to pay for real estate held for sale in its property acquisition and refurbishment business, mainly business-use land and manufacturing and logistics facilities such as factories. No specific property has been decided.

The issue price equals the stock's June 22, 2026 closing price of ¥15,750. Sense Trust said the TOKYO PRO Market, a market for professional investors, has extremely low liquidity, and that it relied on a Japan Securities Dealers Association guideline allowing a reference period of up to six months before the board resolution. Its board of corporate auditors said the price is not particularly favorable to the allottees and is lawful.

The new shares represent 3.6% of the 1,055,000 shares outstanding before the issue. Combined with a third-party allotment with a Sept. 10, 2026 payment date, dilution totals 8.3%.

IN, an Osaka-based asset management company established on June 19, 2026 with capital of ¥1 million, has no capital, personnel or business ties to Sense Trust. Its major shareholders were not disclosed.

Next steps: Payment and issuance are scheduled for Nov. 10, 2026, with the funds to be spent between November 2026 and March 2027.
