Bitcoin Japan (8105) said ¥262.5 million of its first series of unsecured convertible bonds with a conversion price adjustment clause, issued to EVO FUND, were converted in September into 3,432,250 new shares, leaving ¥825 million unconverted at month-end.
The bonds and the company's second series of stock acquisition rights, which carry an exercise price adjustment clause, were both issued on Aug. 3, 2026, through a third-party allotment to EVO FUND. September conversions equaled 17.5% of the bonds' ¥1.5 billion total issue amount. The unconverted balance fell from ¥1,087.5 million at the end of August to ¥825 million at the end of September.
Conversions took place on five days at prices ranging from ¥74 to ¥87 per share. All shares delivered were newly issued; no treasury shares were used.

No stock acquisition rights were exercised in September. All 593,779 rights, equivalent to 59,377,900 shares, remained outstanding at month-end, unchanged from Aug. 3.
Bitcoin Japan had 78,200,914 shares issued as of the end of August, including 3,396,257 treasury shares. Under the conversion and exercise restrictions of Article 434 of the Tokyo Stock Exchange listing rules, the combined 3,432,250 shares delivered, comprising 3,432,250 from bond conversions and none from rights exercises, represented 4.66% of the 73,690,348 shares listed as of the issue payment date.
