Onex placement of 249,000 new shares lapses as funds fail to arrive; warrants paid in

Onex Corp. (5987) said its planned third-party allotment of 249,000 new shares at ¥1,454 apiece to 品香事業有限公司 lapsed after the ¥362.0 million payment failed to arrive by the Oct. 7 deadline, while its first-series stock acquisition rights were paid in.

The board resolved on Sept. 18 to issue the new shares and 14,110 first-series stock acquisition rights to 品香事業有限公司 through a third-party allotment. Onex said the allottee had told it the payment was remitted from overseas, but the company could not confirm receipt in its designated account by the payment date. The share subscription was therefore not completed and was treated as lapsed.

The warrants were allotted and paid for on Oct. 7, with all 14,110 units going to 品香事業有限公司. Each unit converts into 100 common shares.

Onex had expected 品香事業有限公司 to become a principal shareholder as a result of the share issue. With the lapse, it will not qualify, and the previously announced change in principal shareholder has been cancelled.

Onex said it is reviewing its funding plan and will promptly disclose the planned spending amounts for the allotment proceeds once they are decided.
