Architects Studio Japan Inc. (6085) will issue 280,000 moving-strike stock acquisition rights and its first unsecured private-placement bond to EVO FUND, with the warrants set to raise about ¥3.22 billion if fully exercised at the initial price of ¥115.

Gross proceeds (at initial price)¥3.22 billion
Potential shares28 million shares
Initial / floor exercise price¥115 / ¥58
Exercise periodOct. 15, 2026-May 17, 2027

The board approved the third-party allotment on Sept. 28. Each warrant, priced at ¥15 for a total of ¥4.2 million, converts into 100 shares, for 28 million potential shares.

The exercise price will be reset every trading day, starting two trading days after allotment, to 100% of the lowest closing price over the preceding five consecutive trading days. There is no ceiling; the floor is ¥58, equal to 50% of the closing price on the trading day before the resolution, rounded up. Potential shares remain 28 million even at the floor price.

Gross proceeds are estimated at ¥3.224 billion, comprising ¥4.2 million from the warrant issue and ¥3.22 billion from exercise, with net proceeds of about ¥3.216 billion. The exercise figure assumes all warrants are exercised at the initial price; actual proceeds will vary with market conditions. EVO FUND has, in principle, committed to exercise at least 35,000 warrants by Dec. 25, 2026, and at least 112,000 by Feb. 10, 2027.

Architects Studio Japan runs a platform linking about 3,000 registered architects with builders and customers, earning mainly royalties from member construction companies. The company said it refocused on its architect network after a management overhaul at an extraordinary shareholders' meeting in November 2025, sold stakes in four subsidiaries including Singapore's SUPASPACE PTE. LTD., and made Toronto-based AI developer PERMITS AI INC. a wholly owned subsidiary on March 31, 2026.

The warrants will be allotted on Oct. 14, 2026, and are exercisable from Oct. 15, 2026, to May 17, 2027. The company will acquire any remaining warrants on May 17, 2027, at the issue price.
