Image Joho Kaihatsu (3803) said on Sept. 28, 2026 it will use ¥170 million (excluding tax) of proceeds from a third-party share allotment to acquire Digross's CRM business, dropping a planned ¥275 million (tax included) purchase of Cybridge Group's social media marketing business.

The Tokyo Growth-listed company raised estimated net proceeds of ¥594 million through the share allotment announced on Jan. 29, 2026, earmarking ¥479 million for business restructuring through M&A and ¥115 million for working capital. Those amounts are unchanged.

The company said the Digross deal would directly expand its BPO and services business and strengthen its earnings base, and that AI system development resources from a business alliance with fonfun, announced July 21, 2026, are expected to lift profitability early. It judged the deal would do more for corporate value than the Cybridge Group purchase, which it dropped after reaching agreement with Cybridge Group.

The remaining ¥309 million of the M&A budget will go to costs for other M&A deals, including brokerage and advisory fees.

The ¥275 million figure included consumption tax, while the ¥170 million price excludes it; consumption tax and advisory fees for the Digross deal will be paid from cash on hand. As of Sept. 28, none of the ¥594 million had been spent, and the full amount was held in bank deposits.

The funds are scheduled to be spent between April 2026 and March 2027. The company said the impact on its consolidated results for the fiscal year ending March 2027 is under review together with the business transfer, and that it will promptly disclose any matters requiring disclosure.
