Uchiyama Holdings sees no exercise of 2nd, 3rd series warrants in September

Uchiyama Holdings Co., Ltd. (6059), listed on the Tokyo Stock Exchange Standard Market, said none of its 2nd and 3rd series stock acquisition rights were exercised in September 2026, leaving 4,500 units (450,000 shares) of each series unexercised at month-end.

Units exercised in Sept.0 units in each series
Unexercised at end-Sept.4,500 units (450,000 shares) each
Exercise price¥550 (2nd series); ¥600 (3rd series)
Issued shares, end-Aug.21,618,800 shares (incl. 2,125,741 treasury shares)

The company disclosed the exercise status for Sept. 1-30, 2026, on Oct. 1. The warrants were issued on Jan. 4, 2024, through a third-party allotment using treasury shares, as announced on Dec. 19, 2023. Both series carry a fixed exercise price but include a conversion right that allows the company, by board resolution, to turn them into warrants with an adjustable exercise price. As of the announcement date, the board had not resolved to exercise that conversion right, so the exercise prices remain unchanged. The company said it nonetheless reports monthly exercise status in line with the practice for adjustable-price warrants.

Issued shares at the end of August totaled 21,618,800, including 2,125,741 treasury shares.

Because the exercise prices have not been revised, the company said the exercise restrictions under Article 434 of the Tokyo Stock Exchange's Securities Listing Regulations and the Japan Securities Dealers Association's rules on third-party allotments do not apply.
