Wellneo Sugar Co., Ltd. (2117) said on Sept. 29, 2026 its board approved disposing of up to 12,000 treasury shares to its employee shareholding association via a third-party allotment at ¥2,859 per share, for a maximum total of ¥34.3 million.

Disposal price¥2,859 per share
Max. total¥34.3 million
Payment dateDec. 15, 2026

The disposal is tied to a special incentive scheme for the employee shareholding association. The company will pay each eligible employee a special bonus equivalent to 100 shares; employees contribute the bonus to the association, which pools the money and pays it to the company in exchange for the shares.

Eligible employees are association-eligible staff of Toyo Seito Co., Ltd., a wholly owned subsidiary, and those who joined Wellneo Sugar after its Oct. 1, 2025 merger with Daiichi Togyo Co., Ltd. The share count and total are maximums that depend on how many eligible employees consent to the scheme.

Wellneo Sugar plans to merge with Toyo Seito on Oct. 1, 2026, and said the scheme is meant to integrate corporate cultures, foster merger synergies and help employees build assets.

The disposal price equals the stock's Tokyo Stock Exchange closing price on Sept. 28, 2026, the business day before the board resolution. The company said the price is not particularly favorable to the allottee; all four statutory auditors at the meeting, including two outside auditors, said they found no material legal violations in that judgment.

The disposal equals 0.04% of the 32,800,095 shares outstanding and 0.04% of the 327,083 voting rights as of March 31, 2026. As dilution is below 25% and no change in controlling shareholder is involved, no independent third-party opinion or shareholder confirmation is required under Article 432 of the TSE's securities listing regulations.

Payment is due Dec. 15, 2026. The company will announce the final number of shares and total amount once determined.
