Yumetenbo Co., Ltd. (3185) said on Sept. 28, 2026, it has received full payment for its 12th series of stock acquisition rights with an exercise-price adjustment clause, which cover 2.17 million common shares and would raise an estimated ¥296.7 million net if fully exercised at the initial price of ¥138.7.

The Tokyo Stock Exchange Growth-listed company's board resolved on Sept. 11, 2026, to issue the warrants through a third-party allotment. The 21,700 warrants, each for 100 common shares, were allotted on Sept. 28 at ¥12 apiece, for a total of ¥260,400, to Long Corridor Alpha Opportunities Master Fund (LCAO, 16,058 units), MAP246 Segregated Portfolio, a segregated portfolio of LMA SPC (MAP246, 1,736 units) and BEMAP Master Fund Ltd. (BEMAP, 3,906 units).

From Sept. 29, the exercise price will be reset to 95% of the company's closing price on the Tokyo Stock Exchange on the last trading day of the week before each exercise request, rounded up to the nearest ¥0.1, whenever that figure differs from the prevailing price by ¥0.1 or more. The price cannot fall below ¥73.

The ¥296.7 million estimate combines the issue proceeds with the value of full exercise at the initial price, minus estimated issuance expenses; the actual amount will rise or fall if the exercise price is revised or adjusted, or if warrants go unexercised. Yumetenbo signed a purchase agreement with the allottees on Sept. 28 that includes an exercise commitment clause and requires the company's prior written consent for any transfer of the warrants.

The warrants are exercisable from Sept. 29, 2026, through March 31, 2027, or the preceding trading day if March 31 is not a trading day. Exercise is suspended on days the book-entry transfer institution deems necessary, and for up to one month if the company gives one month's notice ahead of a merger, company split, share exchange, share transfer or share delivery.
