USS Co., Ltd. (4732) said on Oct. 2 its facility-type share buyback was finalized at an effective 9,580,100 shares after SMBC Nikko Securities exercised stock acquisition rights for 752,800 shares, with the effective total cost unchanged at ¥17,999,911,800.
The buyback was announced on May 12, 2026. In an off-hours ToSTNeT-3 trade on May 13, USS acquired 10,332,900 shares for a total of ¥17,999,911,800. Of those, SMBC Nikko Securities sold 8,317,000 shares on its own account, receiving ¥14,488,214,000.
Under the adjustment mechanism, the amount SMBC Nikko received was divided by an average VWAP of ¥1,915.3763, yielding 7,564,200 shares after rounding up to the nearest 100 shares. The average VWAP is the simple arithmetic mean of daily volume-weighted average prices for regular trading on the Tokyo Stock Exchange from May 14 through Oct. 1, 2026, multiplied by 99.80%. Days from five trading days before the last trading day of each fiscal quarter through quarter-end, and days with no VWAP, were excluded.
On Oct. 2, SMBC Nikko exercised the company's 24th series stock acquisition rights at an exercise price of ¥1, receiving 752,800 shares, the difference between the shares it sold and the 7,564,200 shares.
