Chudenko plans self-tender for Chugoku Electric stake, raises dividend to ¥150

Chudenko Corporation (1941) said on October 30 its board approved a share buyback through a self-tender offer premised on acquiring part of the holding of top shareholder Chugoku Electric Power, which owns 41.34%, and raised its annual dividend forecast for the year ending March 2027 to ¥150 per share from ¥140.

Chugoku Electric stake41.34%
FY3/2027 annual dividend forecast¥150 (previously ¥140)
1H net profit attributable to owners¥8.771 billion (up 20.3%)
Full-year net profit forecast¥22.8 billion (up 23.4%)

The two companies agreed in early March 2026 that optimizing their capital relationship at an early stage was necessary to strengthen synergies in grid-scale battery storage and data center businesses while preserving Chudenko's management independence. After weighing a tender offer, open-market purchases and ToSTNeT-3, Chudenko chose a tender offer citing equality among shareholders, transparency, and the ability to buy at a discount to the market price. Chudenko bought 2.5 million shares from Chugoku Electric through a self-tender in 2016.

The interim dividend, with a record date of September 30, 2026, was set at ¥70 per share, totaling ¥3,706 million. The year-end dividend forecast was raised to ¥80 from ¥70, bringing the annual total to ¥150, versus ¥135 a year earlier. The company targets a dividend-on-equity ratio of 3.0%.

For the April-September half, net sales rose 11.1% to ¥106.4 billion, operating profit climbed 24.7% to ¥13.2 billion and net profit attributable to owners of the parent increased 20.3% to ¥8.77 billion. The company also revised its full-year forecast:

ItemFY3/2027 forecastYoY
Net sales¥257.0 billion12.8%
Operating profit¥31.0 billion18.4%
Net profit¥22.8 billion23.4%

Forecast earnings per share of ¥430.55 do not reflect the buyback.

Next steps: the interim dividend takes effect on November 30, 2026, and the semi-annual securities report is scheduled to be filed on November 10, 2026.
