The board approved the repurchase on Sept. 29 under a provision in the company's articles of incorporation, based on Article 165, Paragraph 2 of the Companies Act, that allows buybacks by board resolution. The company said the purpose is to carry out a flexible capital policy in response to changes in the business environment.

Major shareholder Mitsubishi Corp. has informed Maruichi Sansho that it plans to sell all of its Maruichi Sansho common shares in connection with the buyback. The company said this is expected to result in a change in its major shareholders and that it will make an announcement promptly once the change is confirmed.

The purchase order will be placed at the Sept. 29 closing price, including the final quote, and will be valid only for that trading session, with no switch to other trading methods. The number of shares will not be changed, and purchases will be made against matching sell orders. The company said some or all of the shares may not be acquired depending on market conditions.
